Welcome to Connect Bricks. These Terms and Conditions outline the rules and regulations for the use of our software development services and website. By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these terms.
These terms apply to all clients globally who utilize our web development, mobile app development, custom software solutions, and related services. We recommend reviewing these terms thoroughly and contacting us with any questions before proceeding with any project.
Acceptance of Terms
By accessing and using the services provided by Connect Bricks, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. These terms constitute a legally binding agreement between you (the 'Client') and Connect Bricks (the 'Company'). If you do not agree with any part of these terms, you must not use our services.
These Terms and Conditions apply to all services offered by Connect Bricks, including but not limited to web development, mobile app development, custom software solutions, UI/UX design, and consulting services. Additional terms may apply to specific projects as outlined in individual Service Agreements.
Services Description
Software Development Services
We provide comprehensive software development services including web applications, mobile applications (iOS and Android), custom enterprise solutions, API development and integration, cloud-based solutions, and software maintenance and support.
Design Services
Our design services encompass UI/UX design, graphic design, branding and identity, wireframing and prototyping, and responsive design for all device types.
Consulting Services
We offer technical consulting, project planning and strategy, technology stack recommendations, code reviews and audits, and performance optimization consulting.
Service Scope
The specific scope of services, deliverables, timelines, and pricing for each project will be outlined in a separate Service Agreement or Statement of Work (SOW). The Service Agreement will take precedence over these general Terms and Conditions in case of any conflict.
Client Responsibilities
Information & Materials
Clients must provide accurate, complete, and timely information required for project completion. This includes content, images, brand assets, access credentials, and any other materials necessary for the project. Delays caused by late provision of materials may impact project timelines.
Feedback & Approvals
Clients are expected to provide timely feedback and approvals at each project milestone. If feedback is not received within the agreed timeframe (typically 5-7 business days), the Company reserves the right to proceed with the project based on its professional judgment.
Communication
Clients must maintain regular communication through agreed channels and respond to queries in a timely manner. A designated point of contact should be available for project-related communications.
Third-Party Services
Clients are responsible for procuring and maintaining any third-party services required for their project, such as domain names, hosting accounts, third-party API licenses, and payment gateway accounts.
Payment Terms
Pricing Structure
Project pricing will be determined based on scope, complexity, timeline, and resources required. Detailed pricing will be provided in the Service Agreement or project proposal. We offer fixed-price projects, hourly rate arrangements, and retainer-based agreements depending on the nature of the work.
Payment Schedule
Standard payment terms require an initial deposit (typically 30-50% of total project cost) before work commences. Milestone payments are required as outlined in the Service Agreement. Final payment is due upon project completion and before final delivery of source code and assets.
Payment Methods
We accept payments via bank transfer, credit/debit cards, PayPal, and other internationally recognized payment methods. All fees must be paid in the currency specified in the Service Agreement.
Late Payments
Invoices are due within the timeframe specified (typically 7-14 days). Late payments may incur a late fee of 1.5% per month or the maximum allowed by law. Work may be suspended if payments are not received on time, and additional charges may apply for project resumption.
Additional Costs
Any costs for third-party services, licenses, stock assets, or other project-specific expenses will be communicated in advance and may be billed separately or included in the project quote.
Project Timeline & Delivery
Timeline Estimates
Project timelines are estimates based on the scope defined at project start. Timelines will be outlined in the Service Agreement and may be adjusted based on project complexity, feedback cycles, and scope changes.
Factors Affecting Timeline
Timeline may be affected by delayed client feedback or approvals, late provision of required materials, scope changes or additions, technical challenges discovered during development, and force majeure events.
Delivery Process
Projects are delivered in phases or milestones as outlined in the Service Agreement. Each milestone requires client review and approval before proceeding. Final delivery includes source code, documentation, and all agreed deliverables upon receipt of final payment.
Intellectual Property Rights
Client-Owned Content
All content, materials, trademarks, and intellectual property provided by the Client remain the property of the Client. The Client grants Connect Bricks a license to use these materials solely for the purpose of completing the contracted project.
Developed Work
Upon receipt of full payment, the Client receives ownership of the final deliverables specifically created for their project. This includes custom code, designs, and documentation as outlined in the Service Agreement.
Company Rights
Connect Bricks retains ownership of pre-existing code, frameworks, libraries, tools, and methodologies used in project development. The Client receives a license to use these components as part of the delivered solution.
Third-Party Components
Projects may include third-party libraries, frameworks, or components subject to their respective licenses (e.g., open-source licenses). The Client must comply with all applicable third-party licenses.
Portfolio Rights
Unless otherwise agreed in writing, Connect Bricks reserves the right to display completed projects in its portfolio, case studies, and marketing materials. Confidential or sensitive information will not be disclosed without prior consent.
Revisions & Changes
Included Revisions
Each project includes a specified number of revision rounds at defined milestones, as outlined in the Service Agreement. Revisions must be within the original scope and submitted in a consolidated manner.
Scope Changes
Requests that fall outside the original project scope are considered additional work and will be quoted separately. Scope changes may impact project timeline and cost. All scope changes require written approval from both parties.
Change Request Process
Change requests should be submitted in writing. The Company will assess the impact on timeline and cost and provide a change order for approval. Work on changes begins only after approval and any required additional payment.
Warranties & Support
Warranty Period
We provide a limited warranty period (typically 30-90 days from project completion) during which we will fix bugs and errors in the delivered work at no additional cost. The warranty covers defects in materials and workmanship but does not cover issues arising from client modifications, third-party services, hosting environment issues, or normal wear and tear.
Post-Warranty Support
After the warranty period, ongoing support and maintenance services are available under separate agreements. Support packages can include bug fixes, security updates, feature enhancements, and technical assistance.
No Guarantee of Results
While we strive for excellence, we do not guarantee specific business results, traffic, sales, or rankings. We are not responsible for results affected by factors outside our control, such as market conditions, third-party services, or client business decisions.
Confidentiality
Non-Disclosure
Both parties agree to keep confidential information disclosed during the project confidential. Confidential information includes business strategies, technical data, customer information, and proprietary processes.
Exceptions
Confidentiality obligations do not apply to information that is publicly available, already known to the receiving party, independently developed, or required to be disclosed by law.
Duration
Confidentiality obligations continue for a period of 3 years after project completion or as otherwise specified in a separate Non-Disclosure Agreement.
Limitation of Liability
Liability Cap
To the maximum extent permitted by law, Connect Bricks' total liability for any claims arising from services provided shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.
Exclusion of Damages
Connect Bricks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or loss of business opportunities.
Client Responsibilities
The Client is solely responsible for backing up their data, maintaining security of their systems and accounts, compliance with applicable laws and regulations, and proper use of delivered solutions.
Additional Terms
Termination
Either party may terminate the agreement with written notice. Termination terms, including payment for work completed and return of materials, will be as specified in the Service Agreement. Early termination may incur cancellation fees.
Governing Law
These Terms and Conditions are governed by the laws of the jurisdiction where Connect Bricks is registered. Disputes will be resolved through negotiation, mediation, or binding arbitration as specified in the Service Agreement.
Independent Contractor
Connect Bricks operates as an independent contractor. Nothing in these terms creates an employment, partnership, joint venture, or agency relationship between the parties.
Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or infrastructure failures.
Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms and Conditions or our services, both parties agree to first attempt to resolve the matter through good faith negotiations.
If the dispute cannot be resolved through negotiation within 30 days, the parties agree to submit the dispute to mediation before a mutually agreed upon mediator. If mediation is unsuccessful, the dispute shall be resolved through binding arbitration in accordance with the rules of the jurisdiction specified in the Service Agreement.
Each party shall bear its own costs and expenses in connection with any dispute resolution process, unless otherwise ordered by the mediator or arbitrator.
Modifications to Terms
Connect Bricks reserves the right to modify these Terms and Conditions at any time. We will notify clients of any material changes via email or through a notice on our website. Changes will take effect 30 days after notification.
Your continued use of our services after modifications take effect constitutes acceptance of the revised terms. If you do not agree with the modified terms, you should discontinue use of our services and contact us to discuss your ongoing projects.
Severability & Entire Agreement
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely matches the intent of the original provision.
These Terms and Conditions, together with any Service Agreement, Statement of Work, and other written agreements between the parties, constitute the entire agreement concerning the subject matter hereof and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written.
